Terms of Service

The rules for using the QRni platform.

1. Acceptance of terms

By accessing or using QRni ("the Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These Terms, together with our Privacy Policy, form the entire agreement between you and QRni regarding the Service and supersede any prior agreements.

QRni is operated from the Philippines.

2. Eligibility and your account

You must be at least 13 years old — or the minimum age of digital consent in your country, whichever is higher — to use the Service. By using QRni you confirm that you meet this requirement and that any information you provide is accurate and kept up to date.

You can create an account with Google sign-in or with an email address and a one-time verification code or password. You are responsible for keeping your credentials secure and for all activity that takes place under your account. Notify us immediately if you suspect unauthorised access. You may not share your account, sell it, or transfer it to anyone else without our written consent.

3. Service description

QRni is a URL shortening and QR code platform. Depending on your plan, you can create short links and custom slugs on the qrni.to domain, organise links under named handles, customize and download QR codes, publish optional public handle landing pages, invite collaborators to shared handles with admin, editor, or viewer roles, and view click and page-view analytics.

We are continually improving the Service and may add, change, or remove features. We may modify, suspend, or discontinue all or part of the Service at any time, and will give reasonable notice of material changes where it is practical to do so.

Handles and custom slugs are issued on a first-come basis and are not owned by you. We may reclaim, rename, or release a handle or slug that infringes a trademark, impersonates another person or brand, is unlawful, or appears to be registered in bad faith (for example, squatting on a name you do not use).

4. Plans, billing, and cancellation

QRni offers Free and Pro plans with different usage limits (including handles, custom slugs, links per handle, and analytics retention). Current plans and limits are described on our pricing page.

Pro subscriptions are billed monthly or annually through Polar, our payment provider, depending on the billing cycle you choose at checkout. Subscriptions renew automatically at the end of each billing period, and by upgrading you authorise recurring charges to your payment method until you cancel. Prices are shown exclusive of any taxes that may apply in your jurisdiction. We may change our prices, and will give notice of any change before it affects your next renewal.

You can manage or cancel your subscription at any time from Settings > Billing or through Polar's customer portal. If you cancel, Pro access continues until the end of your current billing period and does not renew after that. Except where required by applicable law, payments are non-refundable, and we do not provide pro-rated refunds for partial billing periods. If a payment fails, we may downgrade your account to the Free plan.

If your plan downgrades and you exceed the new limits, existing items remain in your account but items beyond the limit may become read-only until you upgrade or remove items. We do not delete your content solely because of a downgrade.

5. Acceptable use

You agree not to use the Service to:

  • Share, distribute, or redirect to illegal content
  • Engage in phishing, malware distribution, or other harmful or deceptive activities
  • Circumvent or attempt to circumvent our safe-browsing or abuse-prevention checks
  • Publish misleading, infringing, abusive, or adult content on public handle pages
  • Impersonate another person or entity, or misrepresent your affiliation
  • Send spam, or harass, threaten, or harm other users
  • Probe, scan, overload, or disrupt the Service — including denial-of-service attempts, or attempts to gain unauthorised access to our systems or other accounts
  • Use any robot, spider, scraper, or other automated means to access the Service, or use it to develop or train AI models, except through features or APIs we expressly provide
  • Encode another person's personal data into links, slugs, or handles without their consent
  • Resell, duplicate, or commercially exploit the Service without our written permission
  • Violate any applicable laws, regulations, or third-party rights

We determine whether conduct breaches this policy at our reasonable discretion. We may remove content, deactivate links, and suspend or terminate accounts that violate these Terms, and may report unlawful activity to the relevant authorities.

6. Your content

You retain ownership of the URLs and content you submit through the Service. By using the Service, you grant QRni a limited, non-exclusive licence to process, store, and display your content solely to operate and improve the Service — including rendering public handle pages and QR codes from the settings you provide. You are responsible for the content you submit and for any content you choose to publish on public handle pages, and you confirm you have the rights to use it.

When you create or edit a link, we may check the destination URL against Google Safe Browsing to help protect users from known threats. We may deactivate links that are flagged as unsafe.

If you send us feedback, ideas, or suggestions about the Service, you grant us the right to use them without restriction or obligation to you.

7. Link and account inactivity

To keep the platform healthy and free up slugs that are no longer in use, inactive items may be deactivated or removed. "Inactive" means no clicks or scans for the relevant period (measured from the last activity, or from creation if it has never been used):

  • Links created without a verified account are deactivated after about 30 days of inactivity.
  • Custom qrni.to short links are deactivated after about 90 days of inactivity on the Free plan, and after about 1 year on Pro.
  • Handles on the Free plan, along with their links, may be removed after about 180 days of inactivity. Pro handles are exempt from inactivity-based removal.
  • Items you move to trash can be restored for up to 3 days before permanent deletion.

Keeping an active Pro subscription is the best way to ensure your links and handles are retained. These windows may change as the Service evolves.

8. Intellectual property

The Service — including its software, design, branding, logos, and the "QRni" name — is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works from the Service except as permitted by law.

9. Third-party services

QRni relies on third-party providers to operate, including Convex (database, file storage, and backend), Polar (subscription billing), Resend (transactional email), and Google (optional sign-in and Safe Browsing URL checks). Your use of those features may be subject to the providers' own terms, and we are not responsible for their acts or omissions.

Short links and QR codes can point to websites we do not control. We do not endorse, and are not responsible for, the content, accuracy, or practices of any destination site.

10. Service availability and disclaimers

The Service is provided on an "as is" and "as available" basis. While we use reasonable efforts to keep QRni available, we do not warrant that it will be uninterrupted, error-free, secure, or that links will always resolve. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some features may be offered on a beta or experimental basis and may be changed or removed at any time. Beta features are provided as-is, without any warranty.

11. Limitation of liability

To the fullest extent permitted by law, QRni is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including any loss of data, profits, or business. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold QRni harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these Terms or of any law or third-party right.

13. Termination

We may suspend or terminate your account if you violate these Terms or use the Service in a way that harms us, other users, or third parties. You may close your account at any time by contacting us. Cancelling a Pro subscription does not automatically delete your account or links. Upon account termination, your links may no longer resolve and public handle pages may be taken offline. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. We encourage you to contact us first so we can try to resolve any concern. Any disputes that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts of the Philippines, except where applicable law gives you the right to bring proceedings in your local courts.

16. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will stay in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control, such as outages of third-party providers, natural disasters, or interruptions to the internet.
